Terms of Service

These Terms of Service ("Terms") govern your use of Toward.One ("Service"), a product of Pathfix, Inc., a Delaware corporation ("Company," "we," "us," or "our").

By accessing or using Toward, you agree to be bound by these Terms. If you do not agree to all terms and conditions, do not use the Service.

1. Description of Service

Toward is a progress intelligence platform that allows you to capture, organize, and prioritize work updates. The Service processes your text and voice inputs using artificial intelligence to:

  • Thread updates by workstream or goal
  • Identify status and blockers
  • Organize information for clarity
  • Flag items requiring attention

The Service processes your data using AI models, including but not limited to Anthropic Claude and third-party models (such as OpenAI). See our Privacy Policy for details on how we handle your data.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement. If you represent an organization, you warrant that you have authority to bind that organization to these Terms.

3. User Accounts

To use Toward, you must create an account and provide accurate information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities under your account
  • Notifying us immediately of unauthorized access

You agree not to share login credentials or allow others to access your account without authorization.

4. User Content and Rights

Your Content: You retain all rights to content you submit to Toward (text, voice, files). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to:

  • Process your content using AI models to deliver the Service
  • Store your content as necessary to operate the Service
  • Improve the Service (see Section 11 for data usage details)

Acceptable Use: You agree not to submit:

  • Illegal content or requests for illegal activities
  • Content that violates third-party rights (copyright, trademark, privacy, etc.)
  • Malicious code, spam, or attempts to disrupt the Service
  • Content that harasses, threatens, or discriminates against individuals or groups
  • Sensitive personal data of others without their consent

We reserve the right to refuse or remove content that violates these terms.

5. AI Processing and Third-Party Services

How Your Data is Processed:

When you submit updates to Toward, we process them using artificial intelligence to understand context, identify goals, and organize information. This processing may involve:

  • Anthropic Claude API
  • OpenAI API
  • Other third-party AI services (as we expand routing for optimal performance)

Data Shared with AI Providers:

Your content is transmitted to third-party AI providers to process and return results. Each provider has its own privacy and data handling policies. By using Toward, you acknowledge that your data will be processed by these third parties in accordance with their terms.

We select providers based on security and privacy standards. However, we cannot guarantee absolute security or privacy. Use Toward with the understanding that third-party AI providers will access and process your content.

No Training on User Data:

We do not use your content to train Toward's models or our own machine learning systems.

6. Data Retention and Deletion

Retention Period: We retain your account data for the duration of your account. After you request account deletion:

  • Your data is marked for deletion immediately
  • Deleted data is permanently removed from active systems within 30 days
  • Backup copies may persist for an additional period for security and compliance purposes

User Responsibility: You are responsible for maintaining your own backups of any content you submit to Toward. We do not guarantee recovery of deleted content.

7. Intellectual Property

Toward's design, functionality, code, and branding are owned by Pathfix, Inc. and protected by copyright and trademark law. Your use of Toward does not grant you ownership of or license to Toward's intellectual property.

You may not:

  • Reverse engineer, decompile, or attempt to derive the source code
  • Copy, modify, or create derivative works
  • Remove or alter copyright/trademark notices

8. Limitations of Liability

Disclaimer: Toward is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement.

We do not warrant that Toward will be:

  • Uninterrupted or error-free
  • Free of viruses or harmful code
  • Accurate or complete in its processing

Limitation: To the extent permitted by law, Pathfix, Inc. is not liable for:

  • Indirect, incidental, special, or consequential damages (including lost profit)
  • Damage to equipment or data
  • Unauthorized access to your account
  • Third-party AI provider errors or failures
  • Any damages arising from your use of Toward

Our Liability Cap: Our total liability to you shall not exceed the amount you paid Toward in the 12 months preceding the claim, or $100, whichever is less.

Note for Free Users: If you use Toward at no cost, our liability to you is $0.

9. Indemnification

You agree to indemnify and hold harmless Pathfix, Inc., its officers, employees, and agents from any claims, damages, or losses arising from:

  • Your violation of these Terms
  • Your use of Toward in violation of law
  • Your submission of content that infringes third-party rights
  • Your unauthorized access to others' accounts

10. Termination

We may suspend or terminate your account if you:

  • Violate these Terms
  • Use Toward for illegal purposes
  • Harass or abuse other users or our team
  • Pose a security or operational risk

Upon termination, your right to use Toward ends immediately. Provisions that survive termination include liability limitations, indemnification, and intellectual property rights.

11. Free and Paid Tiers

Free Tier: Toward is currently available at no cost. We may discontinue the free tier or change its features at any time with notice.

Paid Tiers (Coming Soon): When paid subscriptions launch:

  • Payment terms will be specified at sign-up
  • Refunds are handled per the policy described at purchase
  • Failure to pay may result in service suspension or termination

12. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or in-app notification. Your continued use of Toward constitutes acceptance of updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Delaware, without regard to conflict of law principles. You consent to the exclusive jurisdiction of courts located in Delaware.

14. Dispute Resolution

Informal Resolution: Before pursuing legal action, we encourage you to contact us at support@toward.one to resolve disputes informally.

Arbitration: Except for claims arising from intellectual property infringement or violations of confidentiality, you agree that any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), with one arbitrator, in Wilmington, Delaware. Arbitration is final and binding, with limited appeal rights.

15. Severability

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.

16. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Pathfix, Inc. regarding Toward and supersede all prior agreements.
